End-User License Agreement
This End-User License Agreement ("Agreement") is between TODAMU LLC ("Operator," "we," or "us") and the person or organization using TODAMU QuickBooks Connector (the "Service"). By authorizing or using the Service, you agree to this Agreement. If you do not agree, do not connect a QuickBooks Online company.
1. Limited license and intended use
Subject to this Agreement, Operator grants you a limited, revocable, non-exclusive, non-transferable license to use the Service for your own lawful internal business purposes. The current Service is private and read-only: it verifies a QuickBooks Online connection by retrieving basic company information and contains no accounting create, update, or delete operations.
2. Authority and account responsibilities
You represent that you are authorized to connect the selected QuickBooks Online company and permit the requested access. You are responsible for your Intuit account, the accuracy of information you provide, and all activity you authorize. You must not use the Service to access another party's data without permission or for unlawful, deceptive, or infringing purposes.
3. QuickBooks Online and third-party services
The Service depends on Intuit's OAuth and QuickBooks Online APIs and on hosting and internet providers. Your use of QuickBooks Online remains subject to Intuit's own terms and policies. Operator does not control and is not responsible for third-party service availability, changes, or actions.
4. Data and privacy
Our handling of information is described in the Privacy Policy, which forms part of this Agreement. The public callback bridge does not store Intuit Client Secrets, access tokens, or refresh tokens. The local Windows application protects stored credentials and refresh tokens with Windows DPAPI.
5. Restrictions
You may not circumvent security controls; probe or disrupt the Service; use it to introduce malicious code; misrepresent affiliation with Operator, Intuit, or QuickBooks; resell or sublicense it without written permission; or use QuickBooks data for a purpose not disclosed to and authorized by the data owner.
6. Availability and changes
We may maintain, modify, suspend, or discontinue the Service to protect security, comply with law or platform requirements, or improve functionality. We will use reasonable efforts to preserve authorized access but do not guarantee uninterrupted operation.
7. Disclaimer
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available," without warranties of merchantability, fitness for a particular purpose, non-infringement, or error-free operation. The Service is not accounting, tax, financial, or legal advice. You remain responsible for reviewing your books and decisions with qualified advisers.
8. Limitation of liability
To the maximum extent permitted by applicable law, Operator will not be liable for indirect, incidental, special, consequential, exemplary, or lost- profit damages arising from the Service or third-party platforms. Nothing in this Agreement excludes liability that cannot lawfully be excluded.
9. Termination
You may stop using the Service and revoke its QuickBooks authorization at any time. Operator may suspend access for a security risk, violation of this Agreement, loss of platform authorization, or legal requirement. Sections intended by their nature to survive termination will survive.
